Corporate Counsel / Senior Corporate Counsel – M&A

Cadence is looking for an experienced corporate attorney to join its corporate and compliance legal team as an integral member. This attorney will be the primary legal partner for the company's global M&A practice and will work closely with the company's executive, corporate development, legal and other cross-functional teams. This position reports to the Associate General Counsel responsible for corporate governance, securities and M&A.

This attorney must have the ability to work efficiently and independently with little or no supervision, and have a deep interest in M&A and strategic investments. The ideal candidate will also have a desire to contribute to and support other corporate legal and compliance matters, including corporate governance, securities, and the company’s global equity program.

This attorney will possess a positive attitude and an understanding of the “soft skills” required to thrive in a cross-functional environment. S/he must be collaborative with legal and business teams, flexible, selfless, secure, approachable and business-minded. S/he must also possess excellent strategic, organizational and presentation skills, and be willing to learn and have curiosity about new skills, areas of knowledge and what makes a global technology company tick.

Responsibilities include:

  • Strategizing and managing the legal life cycle of the company's global M&A practice;
  • Liaising with the company's executive, corporate development, legal and other cross-functional teams;
  • Advising on M&A and strategic investment deal structure and issues, conducting and managing due diligence, drafting and negotiating deal documentation, coordinating deal closings, tracking post-closing requirements and monitoring strategic investments;
  • Advising and improving on M&A process and internal efficiencies;
  • Managing outside counsel relationships;
  • Supporting corporate governance, compliance, board of directors, executive compensation, global equity, ESG and other corporate legal matters; and
  • Periodically assisting with SEC public reporting disclosures, including 10-Ks, 10-Qs, 8-Ks, proxy statements and Section 16 filings, and participating in licensing, IP and employment matters as the opportunity arises.
  • Qualifications:

  • JD and a minimum of 4 years of experience at a top-tier law firm and/or in-house at a technology company
  • Strong oral and written skills
  • Relocation will not be offered for this role.
